Limited license to access the Site

Subject to the terms and conditions set forth herein, VSN Law hereby grants to you, and you accept, a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Site, only in accordance with these Terms of Use. This license shall be granted until terminated in accordance with these Terms of Use.

Title and ownership

As between you and VSN Law, all Intellectual Property Rights (hereinafter defined) evidenced by or embodied in and/or attached/connected/related to the Site, are and shall be owned exclusively by VSN Law. • Interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies, or regulations of networks connected to the Site;
• Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;
• Use the Site to harm minors in any way;
• Violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the Indian Government like Information Technology Act,2000, or any rules of any national or other securities exchange, including, without limitation, SEBI, and any regulations having the force of law;
• Provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the Indian Government as a foreign terrorist organization;
• “Stalk” or otherwise harass another; or
• Promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals. This may include, but is not limited to, providing instructions on how to assemble bombs, grenades, and other weapons, and creating “Crush” sites.

Eligibility

Without limiting the foregoing, the Site is not available where it is illegal to use or access, and VSN Law reserves the right to refuse and/or cancel access to the Site to anyone at its own discretion.

Because of the global nature of the Internet, you agree to comply with all local rules regarding online conduct, including all laws, rules, codes and regulations of the country in which you reside and the country from which you access this Site.

You agree to comply with all export laws and restrictions and regulations of the Department of Commerce or other Indian or other sovereign agency or authority, and not to export, or allow the export or re-export of any software, technical data or any direct product thereof in violation of any such restrictions, laws or regulations, or unless and until all required licenses and authorizations are obtained with respect to the countries (or any successor supplement or regulations). Termination

Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities. Miscellaneous

Notice. VSN Law may provide you with notices, including those regarding changes to VSN Law’s terms and conditions, by email, regular mail or postings on the Site. Notice will be deemed given twenty-four hours after email is sent, unless VSN Law is notified that the email address is invalid. Alternatively, we may give you legal notice by mail to a postal address, if provided by you through the Site. In such case, notice will be deemed given three days after the date of mailing. Notice posted on the Site is deemed given 30 days following the initial posting.

Waiver. The failure of VSN Law to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Use will be effective only if in writing and signed by VSN Law.

Applicable law and jurisdiction. These Terms of Use are governed by the laws of India, without regard to the conflict of laws provisions thereof. The exclusive jurisdiction and venue of any action with respect to these Terms of Use shall be the competent courts of Delhi and VSN Law and you hereby submits to the exclusive jurisdiction and venue of such courts for the purpose of any such action.

Claims. YOU AND VSN LAW AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE VSN LAW SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Severability. If any provision of these Terms of Use is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these Terms of Use to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

Assignment. These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by VSN Law without restriction. Any assignment attempted to be made in violation of this Terms of Use shall be void.

Survival. Upon termination of these Terms of Use, any provision which, by its nature or express terms should survive, will survive such termination or expiration, including, but not limited to the following Sections: Content and links, Copyright, Disclaimers, Limitation of liability, Indemnification and Miscellaneous.

Headings. The heading references herein are for convenience purposes only, do not constitute a part of these Terms of Use, and will not be deemed to limit or affect any of the provisions hereof.

Entire agreement. This and the Privacy Policy attached hereto as an integral part hereof are the entire agreements between you and VSN Law relating to the subject matter herein and will not be modified except in writing, signed by both parties, or by a change to these Terms of Use by VSN Law as set forth herein.
